GENERAL TERMS AND CONDITIONS

A. INTRODUCTORY PROVISIONS a. WONDERWEB, INC. with registered office: 2nd Floor Building C Metrowalk Commercial Complex, Meralco Ave., Ugong 1604 Pasig City, TIN: 621-729-253-00000; (hereinafter referred to as the "Provider"), provides services, websites and applications located on the lifeincebu.ph website (hereinafter referred to as the "Services") to Users under the conditions set out below. b. The Provider's relationship with the Users of the above-mentioned services is governed by these General Terms and Conditions (hereinafter also "GTC" or "Terms"), unless otherwise stipulated by special conditions for the use of the Service. B. EXPLANATION OF TERMS a. Provider. Provided by WONDERWEB, INC. with registered office: 2nd Floor Building C Metrowalk Commercial Complex, Meralco Ave., Ugong 1604 Pasig City, TIN: 621-729-253-00000 b. User. A User of the Services is any person who uses some specific Services of the Provider in accordance with these Terms. c. Third person. A third party is any entity different from the Provider and the User. d. Services. Services means the services, websites and applications of the Provider for Users located on the domain lifeincebu.ph operated by the Provider. e. Use of the Services. Use of services means all User activities performed on the lifeincebu.ph domain. f. Content of Services. The Content of the Services is a summary of the Provider's Content, the User's Content and the Content of Third Parties. i. Provider Content. The content of the Provider means in particular all materials, information and works (including copyright works) submitted by the Provider as part of the Services, which create the functional framework of the Services (form) and their content (content). ii. User Content. User content means in particular all materials, information and works (including author's works) sent by the User in connection with the use of the Services, such as texts, images, videos, etc. iii. Third Party Content. The content of Third Parties means in particular all materials, information and works (including copyrighted works) of Third Parties displayed within the Services. g. User Account. A user account is created by successful Registration and contains parameters for using the Services (e.g. username, selected email address, Service settings, etc.). C. USER REGISTRATION a. Registration. Users can create their own profile on lifeincebu.ph. Data voluntarily provided by users for the purpose of creating a profile on lifeincebu.ph is not transferred by the Provider to third parties and this data is used only for logging in, registering and managing the profile on lifeincebu.ph. These data can be transferred from another existing User account, e.g. from the social network Facebook, Google (Gmail), etc. The Provider does not verify the authenticity of the data provided by the User for the purpose of creating a profile. By registering, the user agrees that his/her profile will be public and subsequently available on the lifeincebu.ph website. b. Agreeing to the General Terms and Conditions. By registering, the user agrees to the processing of voluntarily provided personal data by the Provider for the purpose of creating, registering and managing a profile on lifeincebu.ph. Even if any Service does not require Registration for its Use (even if limited), the Use of the Service is governed by these General Terms and Conditions. Even in such a case, the User is obliged to familiarize himself/herself with these Conditions and expresses his/her consent to these Conditions by starting the Use of the Services. If the User does not agree with these Terms, he/she is obliged to refrain from using the Services. c. Formation of a contractual relationship. At the moment of completing the Registration, a contractual relationship between the User and the Provider is established, which is governed by these Terms. For the avoidance of doubt, the parties declare that by completing the Registration, the User agrees to these General Terms and Conditions, expressly accepts all their provisions and undertakes to comply with the rules set forth therein. This agreement does not affect the possibility of entering into a contractual relationship by actually starting to use the Service without prior registration. d. User Account. By completing the Registration, the User has created a User Account. e. Extension of data. The Provider is entitled at any time in the future in connection with the provision of Services to change the scope of Mandatory personal data and to require the provision of additional data about the User. Without providing such additional Mandatory Personal Data, the Services cannot be used. In such a case, the Provider is entitled to cancel the User's Account and/or not allow access to individual Services, the Use of which is conditioned by the provision of these additional data. D. RIGHTS AND OBLIGATIONS a. User Statement. The User declares and guarantees to the Provider that i. is fully competent to act legally, especially in view of his/her age, ii. his/her capacity to act legally has not been limited to the extent making it impossible for him/her to express his/her consent to these Terms and Use of the Services, iii. all information you provided about yourself during Registration is true, complete, accurate and correct, iv. the use of the Services by the User under the conditions set forth in these Terms will not result in a violation of laws issued by countries other than the Republic of the Philippines, v. has thoroughly familiarized himself/herself with these Terms and Conditions before starting to Use the Services, that he/she fully understands and agrees with them, vi. is aware of the fact that as a result of the suspension or change of the provision of Services, he/she may temporarily or permanently lose access to the Content, both the Content of the Provider, the Content of the User, and the Content of Third Parties. b. General Obligations of the User. The user undertakes, regardless of other provisions of these Terms and Conditions, that: i. will not perform the Registration if the User's performance would violate the legal regulations of countries other than the Republic of the Philippines, ii. will not use the Services if the User's use of them would violate the laws of countries other than the Republic of the Philippines, iii. if he/she is under 18 years of age, he/she will not use the Services for which the minimum age of 18 is a condition for use, iv. will use the Services only for the purpose for which they are intended, v. will not use (or attempt to use) a different interface than the interface provided for that purpose by the Provider to access the Services, vi. will ensure the confidentiality of all identification data and passwords necessary for the User's login and access to the Services, in particular will not disclose these identification data and passwords to any Third Party, vii. if he/she discovers the misuse of his/her identification data and passwords by any Third Party, he/she will immediately notify the Provider, viii. will not commit any illegal or unethical behavior in connection with the use of the Services, ix. will not do anything that disrupts or damages the Services (or the networks and servers connected to the Services); c. General authorizations of the Provider. Regardless of other provisions of these Terms and Conditions, the Provider is entitled to: i. at any time at its discretion and without the need to notify the User in advance, suspend or limit the provision of any Service or change the way of providing any Service in any way, in relation to all Users or only in relation to some Users, without the need to inform the User in advance , including deleting, removing or disabling User Content, ii. at any time at its discretion and without the need to notify the User in advance to terminate the provision of any Service, in relation to all Users or only in relation to some Users, iii. at any time at its discretion and without the need to notify the User in advance, cancel or block the User's account (including email box, etc.) of the User. d. Provision of services. The Provider provides Services to Users under the conditions set out below: i. The User is not authorized to use the Services for any purposes contrary to these General Terms and Conditions or applicable laws. The User may not use the Services in a way that could reduce the value of the work, or damage, disable, overload or impair the function of the servers operated by the Provider, or interfere with the use of these servers or the Services by Third Parties. e. Rights to trademarks and other intellectual property. The User acknowledges that, on the basis of these General Terms and Conditions, he/she is not authorized to use the Provider's business name, its trademarks, logos, domain names or any other designations and business elements of the Provider. f. License to User Content to the Provider. If the User, in connection with the use of the Service, transfers to the Provider his/her texts, images, videos, works of authorship or other User Content (hereinafter referred to as the "Subject License to the Provider"), he/she hereby grants the Provider a non-exclusive license to the Provider for the below-mentioned ways of using the Subject License to the Provider free of charge . The subject of the License to the Provider means a document, information or other data that the User sends or otherwise transfers through the Service to the website of any server through which Users use any Service of the Provider. i. The User declares and guarantees to the Provider that he/she is authorized to provide the Provider with a License to the Subject of the license according to these Terms and that the provision of such a license by the User or its use by the Provider will not violate the rights of third parties. ii. The Provider is entitled in all ways to an unlimited extent to use, modify, copy, distribute, transfer and otherwise communicate the Subject License to the Provider to the public, or otherwise distribute, display, perform, reproduce, publish, or otherwise publish them, provide these permissions and grant sub-licenses to the Subject License to the Provider to Third Parties, and create collective or derivative works from them. iii. The Provider is not obliged to use the Subject of the License in any way and is entitled to remove the Subject of the License from the servers operated by the Provider at any time at its own discretion. iv. The User undertakes to comply with the obligations specified in point (D.) letter (h.) of these Terms and Conditions when transferring any User Content to the Provider. v. Transmission of any User Content, including contributions, opinions or comments provided by the User is voluntary, and the User shall not be compensated for the provision of a license according to this point (D.) letter (f.) of the Terms. g. Gratuitousness. The User's registration and the User's use of the Services are not charged and are provided by the Provider to the Users free of charge. An exception may be, for example, various premium sections and services. h. Principles of User Conduct. i. Violation of legal regulations. The User is responsible for the consequences of his/her actions connected with the use of the Services and agrees that he/she will not use the Services for any activities that are or could be in conflict with the laws of the Republic of the Philippines or other countries applicable to the User, the rules of use of the Provider's Services and his/her legitimate interests, these Terms and Conditions as well as the generally accepted principles of using services provided via the Internet. ii. The User is obliged to always respect the rights of the Provider and Third Parties, especially when handling copyrighted works and other objects of intellectual property rights. iii. In particular, the user must not: 1. use any Service of the Provider in violation of these General Terms and Conditions, 2. commercially use any Service in a manner capable of damaging the Provider, e.g. creating User Accounts for the purpose of transfer to another User for a fee or free of charge, 3. obtain login names and/or passwords of other Users of the Provider's Services as well as services and products of Third Parties, 4. abuse, block, modify or otherwise change any part of the Service, or even try to disrupt the stability, operation or data of the Services, 5. attempt to gain access to those parts of the Service that are excluded from public use, in particular to the source code, etc. 6. use your User Account to send unsolicited messages (so-called spam, hoaxes, etc.) in any form, viruses or other illegal or annoying content, 7. use the User Account for excessive batch sending of messages, notifications and other communications, 8. give the impression that the user of the Service is a different company or individual than the User, or create User Accounts whose parameters (e.g. email address) may be offensive or are in conflict with moral or ethical rules, 9. violate the rights of the Provider or Third Parties in a way other than that specified in the previous points, 10. attempt to act in any manner prohibited herein. iv. Furthermore, the User is expressly prohibited from handing over to the Provider (i.e. placing, uploading, linking or otherwise distributing) User Content, which in particular: 1. violates the intellectual property rights (copyrights, copyright-related rights, industrial rights, etc.) of other persons, 2. leads to anti-competitive behavior that is in violation of the regulations governing competition in economic relations or the customs of the competition, while they may damage the good reputation or endanger the operation or development of the competitor's business, 3. contains unauthorized trademarks, trade names and protected designations of origin, to which the exclusive right belongs to a Third Party, or any designation interchangeable with it, 4. contains any parts that incite or lead to the non-fulfillment of an obligation imposed by law or on the basis of Republic Act 10173 - Data Privacy Act of 2012, or a criminal act, or condone a criminal act or publicly praise its perpetrator for a criminal act, 5. contains any parts that lead to the abuse of addictive or life-threatening substances or support or encourage the abuse of such substances, 6. contain any parts that threaten other persons or a group of residents with death, bodily harm or causing damage of a large scale, 7. contains any parts that defame a nation, its language, an ethnic group or race, or a population group because of their political beliefs, religion or because they are of no religion, 8. contains any parts that incite hatred towards any nation, ethnic group, race, religion, class or other group of persons or to restrict the rights and freedoms of its members, 9. contains an alarm message that is false, 10. contains pornographic works, especially those that depict a child, or that show violence or disrespect for a person, or that depict sexual intercourse with an animal, 11. allows persons under the age of eighteen to access any pornographic works, 12. contains false information about another person, which is capable of significantly endangering his/her reputation among fellow citizens, in particular harming him/her at work, disrupting his/her family relationships or causing him/her other serious harm, 13. support or promote a movement that is demonstrably aimed at suppressing human rights and freedoms or proclaims national, racial, religious or class hatred or resentment against another group of persons, or publicly show sympathy for these movements, 14. denies, questions, approves or tries to justify the Nazi or Communist genocide or other crimes against humanity, 15. are contrary to good morals in any other respect. v. Sanctions. In the event that the User uses any Service of the Provider in violation of these General Terms and Conditions, the Provider has the right, in accordance with point (D.) letter (c.) of the Terms, at any time, without prior notice and without any claim on the part of the User, to terminate or limit the provision Services, delete or otherwise make User Content unavailable, or cancel or block a User Account. The User acknowledges and agrees that the violation of the prohibitions listed in point (D.) letter (h.) of these Terms and Conditions may lead to the above-mentioned consequences, including cancellation of the User Account. i. Inactive User Account. In the event that the User does not log in to his/her User Account for more than 6 months (hereinafter referred to as "Inactive User Account"), the Provider is entitled to cancel such Inactive User Account. E. PROTECTION OF PERSONAL DATA a. Personal data and sensitive data. Personal data means information about the User, on the basis of which the User can be directly or indirectly identified. Sensitive data means information about the User, indicating the national, racial or ethnic origin, political positions, membership of trade unions, religion and philosophical beliefs, criminal convictions, health and sex life of the data subject and genetic data of the data subject, or any biometric data that enables the direct identification or authentication of the data subject. i. Scope of personal data. In accordance with point (C.) of these Terms and Conditions, the Provider requires Mandatory personal data as part of Registration. The User may voluntarily, at his/her discretion, provide the Provider with additional optional data. ii. Scope of sensitive data. Providing any sensitive data is optional. The Provider does not and will not require any sensitive data from the User. If the User provides any sensitive data within the Services, he/she does so voluntarily at his/her discretion. b. Protection of Personal Data. The Provider collects and stores the Personal Data entered by the User through electronic information carriers in a secure database. The Provider protects Personal Data to the maximum extent possible. i. However, the Provider is not responsible for any unauthorized interventions by third parties, as a result of which these persons gain unauthorized access to the Personal Data of individual Users and/or to their User Accounts and/or to the relevant database of the Provider and use, abuse, or makes them available to third parties. ii. The user declares that he/she is aware of the risks for him/her resulting from the aforementioned unauthorized interventions by third parties. c. Restrictions on data handling. Without the prior permission of the User, the Provider will not process, share, sell or use the User's data from his/her Personal Data of the registration service in a way that would be contrary to these General Terms and Conditions. d. Processing of personal data. The User acknowledges that the Provider is entitled to process, collect and monitor the Personal Data of individual Users for their own needs (i.e. for the purpose of providing Services according to these General Terms and Conditions) and for statistical purposes. e. User consent to the processing of Personal Data. By completing the Registration, the User grants, in accordance with Republic Act 10173 – Data Privacy Act of 2012, as amended, the processing of Personal Data provided under these General Terms and Conditions to the Provider as administrator, for the purpose of identifying the User when using the Registration service. The User further consents to the further marketing processing of Personal Data according to point (F.) of these General Terms and Conditions, in particular for targeting advertising to Users of the Services and sending commercial messages. f. Period of consent. The User grants the above-mentioned consent to the processing and transfer of Personal Data for a period of 10 (ten) years, or until the full settlement of the rights and obligations arising from the Use of the Services, unless he/she withdraws his/her consent earlier. This does not affect the Provider's obligation to process the User's Personal Data for the period set by the relevant legal regulations or in accordance with them. g. Processor. In accordance with the Personal Data Protection Act and Republic Act 10173 – Data Privacy Act of 2012, the Administrator is authorized to authorize a third party as a Personal Data Processor. h. Withdrawal of Consent. The User's consent to the processing of Personal Data according to this point (E.) of the General Terms and Conditions is voluntary. The User is entitled to revoke this consent in writing at the Provider's address at any time after the User Account has been established. Upon withdrawal of consent, the Provider shall ensure that all User data are deleted from the Service database and User Account and at the same time ensure that these data are not further processed or disseminated for the purpose of further provision of the Service. In such a case, the provisions of the Terms and Conditions that are conditional on the provision of consent will not apply to the User. This does not affect the Provider's obligation to process the User's Personal Data for the period set by the relevant legal regulations or in accordance with them. i. User access to data. From the moment the User Account is established, the User has the right to ask the Provider at any time for information about the processing of his/her Personal Data. In such a case, the Provider will provide the User with information to the extent stipulated by the Personal Data Protection Act. If the User believes that the Provider is processing his/her Personal Data in violation of the Personal Data Protection Act, he/she has the right to ask the Provider (or the Processor) for an explanation or to demand that the Provider (or the Processor) eliminate the resulting situation. In particular, this may involve the blocking, correction, addition or disposal of personal data. The user is also entitled to contact the Office for the Protection of Personal Data with their initiative. j. Provision of personal data. The User acknowledges that the Provider may be obliged to provide Personal Data on the basis of Republic Act 10173 - Data Privacy Act of 2012 or to fulfill its legal obligation (e.g. within the framework of judicial or administrative proceedings). The Provider is also entitled, if necessary, to make personal data available to protect the rights of the Provider or to protect the personal safety of Users or third parties. k. Statistical data. The User agrees to the anonymous use and/or publication of registration and statistical data by the Provider for the development and operation of the Services provided. However, the statistical data and their compilations will not contain Personal Data of such a nature that, based on one or more of these data, could directly or indirectly identify the User or that would enable any Third Party to contact the User. F. ADVERTISING a. Advertising within the Services. The User hereby acknowledges and consents to the fact that advertising and/or promotional messages (hereinafter referred to as "advertising") may be displayed within the Services. This advertisement may relate to the Content of the Services, inquiries made through the Services, and other information. i. The scope of the advertisement and the way it is displayed is determined by the Provider and is entitled to change it at any time without prior notice. ii. The advertisement represents the Content of Third Parties, and the Provider is therefore in no way responsible for the content of the advertisement. For the avoidance of doubt, the parties expressly declare that the Provider is not responsible for any damage incurred by the User as a result of the existence, incompleteness, inaccuracy or out-of-dateness of any advertisement or as a result of the User's relationship with the advertiser or seller of advertised goods or services. b. Commercial communications. The User hereby, in accordance with the Act on Certain Information Society Services and the Amendment of Certain Acts (Act on Certain Information Society Services), as amended, agrees that the Provider is authorized to send the User to the User's email addresses specified during Registration (or its change) business communication, containing in particular information about the new Services and the products and services of Third Parties. G. DISCLAIMER OF LIABILITY a. Disclaimer of Warranties. The Provider does not provide the User with any guarantees regarding the Services, the Provider's Content and the Content of Third Parties, in particular any guarantees regarding the functionality and availability of the Services. In particular, it does not guarantee to the User that: i. The Services will be available continuously twenty-four hours a day, seven days a week, ii. The Services will be fully functional throughout the time the Services are available, iii. The Services will be provided without errors, iv. The Content of the Provider or the Content of Third Parties is accurate or correct and does not violate any rights of Third Parties, b. Liability for damage. The User declares that he/she is aware that the Provider does not provide any guarantees regarding the provision of the Services and that therefore the provision of the Services is associated with a certain risk and accepts this risk and undertakes to take all reasonable steps to exclude or limit the possibility the occurrence of damage or other adverse consequences on your side in connection with the use of the Services. i. The Provider shall not be liable to the User for any direct or indirect harm or damage incurred by the User in connection with the use of the Services, the Provider's Content or the Content of Third Parties, the limitation or termination of the provision of the Services. In particular, the Provider is not responsible to the User for: 1. non-functionality, unavailability or poor availability or functionality of any Service, 2. loss, failure to store or damage to any User Content, 3. any consequence of providing incorrect, inaccurate or incomplete data about the User during Registration, 4. any consequence of breach of obligations by the User, 5. any other consequence of using the Services, ii. Both the Provider and the User declare that their intention is, among other things, to limit the liability of the Provider in connection with the Services to the User to the maximum extent permitted by the mandatory provisions of the law. c. Liability under special regulations. In accordance with the law, the Provider is not responsible for the content of User Content. d. Indemnification. The User undertakes to indemnify the Provider for all damage (property or non-property) incurred as a result of the User's culpable violation of the provisions of these Terms and Conditions. H. AGREEMENT TO THE TERMS a. Agreement to the Terms. Each of the Users is obliged to familiarize themselves with these Terms and express their consent before starting to use the Services. Consent can be expressed either directly by clicking on the button expressing agreement with the wording of these Terms, or by actually starting to use any of the Services. If the User does not agree with these Terms, he/she is obliged to refrain from using the Services. b. Changes and effectiveness of changes to the Terms i. Changes to Terms. The Provider is entitled to unilaterally change the content of these Terms and Conditions at any time. The Provider will notify the User of the change in the Terms ii. Effectiveness of changes to the Terms. Any changes to these Terms and Conditions become effective on the date specified by the Provider, but in relation to each User only if the User agrees to such a change. Either clicking on the appropriate button expressing consent to the change to the Terms or continuing to use the services on the part of the User even after the date specified by the Provider as the effective date of the change to the Terms is considered to be an expression of consent by the User. If the User does not agree with the changes to the Terms, he/she is obliged to refrain from using the Services after the date specified by the Provider as the effective date of the change to the Terms. For the avoidance of doubt, the parties declare that a User who has already registered in the past to use any of the Services before the effective date of these General Terms and Conditions and continues to use the Services based on the original registration, becomes a User under these General Terms and Conditions without further ado and has for having completed the Registration in accordance with point (C.) of these Terms and Conditions. I. FINAL PROVISIONS a. Relationship to Third Parties: i. Third Party Content. The Provider is not responsible for the Content of Third Parties displayed to Users within the Services or provided to Users within the Services, in particular for the advertising messages of Third Parties displayed within the Services. In particular, the Provider is not responsible for the fact that the Content of Third Parties does not interfere with the rights of other persons. ii. Content of Third Party Servers. The servers and services of Third Parties are not controlled by the Provider and the Provider is not responsible for the content of any of the Third Party servers, nor for the content of any link contained on Third Party sites, nor for any changes or updates to Third Party servers. The Provider is not responsible for any form of transmission received from any Third Party server. The connection of Third Party servers with the Provider's services does not mean that the Provider approves the content of these servers or is in any way connected with their operators. b. Communication. All communication between the Provider and the User can be carried out electronically (in the case of the Provider using the form displayed in the "Contact" section or by delivery to the email address specified in the "Contact" section and in the case of the User to the email address or via the social network specified at registration). Communication on the part of the Provider in relation to one or more Users may also be carried out by the Provider in the form of publication of a certain message via the Provider's website (for example, in the case of notification of changes to these Terms and Conditions). When using any of the above methods of communication, it is considered that the written form has been preserved. c. Governing Law and Conflict of Laws. These Terms and Conditions as well as all legal relationships arising or arising in the future between the Provider on the one hand and the User on the other in connection with the Services are governed by the legal order of the Republic of the Philippines. d. Dispute resolution. All disputes arising on the basis of these Terms or in connection with them, or which arise in connection with the Services, will be finally decided in civil court proceedings by the general courts of the Republic of the Philippines. e. Language version. These Terms and Conditions are drawn up in the English language. The English version of the Terms and Conditions is binding and any other language versions of these Terms and Conditions are prepared for information only. f. Salvator Clause. If any provision of these Terms is or becomes invalid or unenforceable in whole or in part, it is fully severable from the other provisions of these Terms and such invalidity or unenforceability shall have no effect on the validity and enforceability of any other provisions of these Terms. In such a case, the provider will replace such invalid or unenforceable provision with another provision that corresponds to the highest possible extent to the content of the original provision. g. Effectiveness. This version of the Terms and Conditions becomes effective on April 1, 2023. When the newer Terms and Conditions become effective, the Terms and Conditions with an earlier effective date automatically become ineffective.
